Contract & Technical Risk Review

Technical review of PPAs, turbine supply agreements, EPC / BoP contracts, BESS LTSAs and grid-compliance obligations for renewable energy projects.

Contracts decide who pays when a renewable project underperforms. Fluxiss reviews the technical schedules of your agreements so scope, performance guarantees, availability definitions, testing rules, and risk allocations reflect how the project will actually be designed, built, and operated.

We work alongside the client's legal, commercial, finance, and engineering advisers. Our role is to translate the engineering consequences hidden in definitions, exclusions, interfaces, and acceptance clauses into clear negotiation points before they become claims or stranded risks.

Contracts We Review

  • PPA Technical Review - performance commitments, curtailment clauses, and metering & settlement terms.
  • TSA (Turbine Supply Agreement) Review - power-curve warranties, availability guarantees, and liquidated damages.
  • EPC / Balance of Plant Review - scope splits, interface risks, and performance test regimes.
  • BESS LTSA Review - degradation guarantees, augmentation obligations, and service-level terms.
  • Interconnection & Grid Compliance Review - grid-code obligations, reactive power requirements, and compliance testing.
Contracts We Review

Technical Schedules That Close Commercial Gaps

The commercial body of an agreement rarely contains enough detail to control plant performance on its own. We review employer's requirements, design criteria, equipment schedules, grid studies, energy-yield assumptions, testing procedures, programme milestones, documentation registers, and operation requirements as one connected technical package.

Definitions are tested against realistic operating scenarios. For example, an availability guarantee may look strong until exclusions for grid outages, environmental limits, planned maintenance, communications faults, or access restrictions are applied. We quantify where possible and recommend wording, evidence, or caps that make the obligation measurable.

  • Scope completeness and consistency across schedules, drawings, and data sheets.
  • Design-life, redundancy, maintainability, and spare-parts obligations.
  • Document precedence, change control, approval rights, and technical submission timing.

Interface and Scope Risk Across EPC Packages

Renewable projects often divide responsibility among module or turbine suppliers, BESS integrators, civil and electrical balance-of-plant contractors, network operators, SCADA vendors, and independent testing parties. Gaps at these boundaries are a common source of delay, duplicated cost, and systems that work individually but fail to operate together.

Fluxiss builds an interface register that assigns design inputs, equipment boundaries, communications protocols, protection settings, temporary works, testing responsibility, data exchange, and final acceptance to named parties. The register is checked against contract milestones and the project programme so every interface has an owner and a required date.

  • Civil, mechanical, electrical, controls, grid, and communications interfaces.
  • Free-issue equipment, temporary facilities, logistics, energisation, and access boundaries.
  • Shared assumptions that must remain aligned across multiple contracts.

Performance Guarantees, Testing and Remedies

A guarantee is only valuable when the test method, reference conditions, correction procedure, instrumentation accuracy, data period, retest rights, and failure remedy are defined. We review how power, capacity, performance ratio, availability, losses, noise, grid response, and battery degradation will be demonstrated and accepted.

The technical review connects each guarantee with practical remedies: correction work, retesting, delay damages, performance liquidated damages, warranty extension, augmentation, or rejection thresholds. This avoids a common failure mode where underperformance is visible but the contract provides no usable method to prove or remedy it.

Findings arrive as an issue register and red-flag memo with clause references, technical consequence, commercial exposure, recommended position, and priority for negotiation. Get Your Contracts Reviewed

Performance Guarantees, Testing and Remedies

Risk Register to Negotiated Action

Contract review only creates value when technical risks become clear commercial actions. Fluxiss converts interface gaps, ambiguous standards and weak performance language into an owned risk register with proposed wording or deliverables.

The project team can then negotiate responsibilities, evidence requirements, notice periods and remedies before the issue becomes a claim or commissioning delay.
